Effective Date: 10/03/2025
Last Updated: 10/03/2025

IMPORTANT: PLEASE READ THESE TERMS CAREFULLY. BY SUBSCRIBING TO OR USING THE QORTEX BLOGGEN API (THE "SERVICE" OR "API") VIA THE RAPID API MARKETPLACE ("RAPID") OR ANY OTHER PLATFORM, YOU AGREE TO THESE TERMS OF USE (THE "TERMS"). IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE SERVICE.

These Terms are between you ("Customer," "you") and Spannings LLC ("Provider," "we," "us," or "our"), the owner of the Qortex API published on Rapid. If you obtained access through Rapid, your purchases, plan management, and certain platform policies are also governed by Rapid’s terms, policies, and developer guidelines, which are incorporated by reference.

## 1. Acceptance of Terms
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

## 2. Description of Service
Qortex provides AI‑powered blog content generation services that create complete blog posts, including titles, HTML content with embedded links, and hero images. The Service is accessed via RESTful API endpoints documented in our reference and OpenAPI specification.

## 3. API Access, Authentication & Security
### 3.1 API Keys & Gateways
- You must use valid API credentials issued through Rapid (or other approved gateways) to access the Service.
- Credentials are confidential and must not be shared, published, embedded in client‑side code, or exposed publicly.
- In gateway deployments (e.g., Rapid/Kong), callers authenticate via the gateway. When calling the app directly, use the `x-api-key` header for routes requiring API Key.

### 3.2 Account Security
- You are responsible for all activity under your account.
- Notify us immediately of any unauthorized use or suspected compromise.
- We may suspend or terminate accounts that violate security policies.

## 4. Usage Limits, Rate Limits & Quotas
### 4.1 Rate Limits
- Requests are subject to rate limits per your plan.
- Rate limit details are provided in headers (e.g., `ratelimit-limit`, `ratelimit-remaining`, `ratelimit-reset`, and `retry-after` on 429).
- Exceeding limits returns HTTP 429. Attempts to circumvent limits may result in suspension or termination.

### 4.2 Quotas
- Monthly quotas apply per subscription tier and are enforced by Rapid.
- Unused quota does not roll over to subsequent billing periods.

## 5. Pricing, Billing & Taxes (Rapid)
### 5.1 Subscription Plans
- Pricing is defined by your selected plan on Rapid. Fees and plan terms are managed by Rapid.
- Prices may change with at least 30 days’ notice for material changes.

### 5.2 Payment Terms
- Billing is processed by Rapid per its payment terms. Refunds follow Rapid’s refund policy.
- You are responsible for all amounts incurred under your account and any applicable taxes (excluding Provider’s income taxes).

## 6. Acceptable Use Policy
### 6.1 Permitted Uses
You may use the Service to:
- Generate legitimate blog/marketing/SEO content for websites and applications.
- Build content generation capabilities into your applications.
- Test and evaluate the API for integration purposes.

### 6.2 Prohibited Uses
You must not:
- Violate any applicable laws or regulations, or Rapid’s Terms of Service.
- Generate illegal, harmful, harassing, or offensive content; submit malicious input to exploit vulnerabilities.
- Infringe intellectual property or privacy rights; disseminate spam, malware, or phishing content.
- Reverse engineer, decompile, disassemble, or attempt to extract source code or underlying AI models.
- Resell, sublicense, or redistribute the API or bundle it as a competing product without express written permission.
- Use the Service to directly compete with Qortex or to build a substantially similar competing service.
- Overload, disrupt, or attempt to undermine Service infrastructure or security.

We may suspend or terminate access immediately for violations.

## 7. Content & Intellectual Property
### 7.1 Generated Content
- You retain ownership of the content generated through the API. You are solely responsible for the accuracy, legality, and use of generated content and for ensuring compliance with applicable law.
- AI‑generated content may contain inaccuracies, biases, or errors and may not be unique. You must review and verify generated content before publication.

### 7.2 Service Intellectual Property
- The API, documentation, and underlying technology are and remain the exclusive property of Provider (and its licensors). These Terms grant no IP rights other than the limited license in Section 8.

## 8. License Grant & Restrictions
Subject to these Terms and plan limits, Provider grants you a limited, revocable, non‑exclusive, non‑transferable license to call the API and use responses solely to build and operate your applications. You may not circumvent quotas, rate limits, or security measures; cache or store responses in violation of law or third‑party rights; or otherwise use the API beyond the scope of your plan and these Terms.

## 9. Data Privacy & Security
### 9.1 Data Processing
- Input data (e.g., prompts, topics, configuration) is processed to generate output. We do not retain request content beyond what is necessary for service operation, troubleshooting, and security.
- Usage analytics (e.g., counts, latency, error rates) may be collected to improve reliability and performance.

### 9.2 Privacy Compliance
- Our use of data is governed by our Privacy Policy. You are responsible for ensuring your use of the Service complies with applicable data protection laws (e.g., GDPR, CCPA) and for obtaining necessary consents.
- Do not submit third‑party personal data without proper legal basis and safeguards.

## 10. Service Availability, Changes & Support
### 10.1 Availability
- We strive for high availability but do not guarantee uninterrupted service. Scheduled maintenance may occur with reasonable notice.
- Any SLA applies only if separately agreed in writing.

### 10.2 Changes; Deprecation
- We may modify, update, or deprecate endpoints and features.
- For non‑emergency breaking changes, we will use reasonable efforts to provide at least 30 days’ notice (e.g., changelog, versioning, deprecation headers), except where security, compliance, or performance requires immediate action.

### 10.3 Support
- Support is provided via Rapid’s support channels. Response times may vary by plan. We may prioritize requests at our discretion.

## 11. Disclaimers
- THE SERVICE AND ALL RELATED MATERIALS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” PROVIDER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON‑INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR‑FREE.

## 12. Limitation of Liability
- TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROVIDER WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS; OR SERVICE INTERRUPTIONS, EVEN IF ADVISED OF THE POSSIBILITY.

- SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; THESE LIMITS APPLY TO THE FULLEST EXTENT PERMITTED.

## 13. Indemnification
You will defend, indemnify, and hold harmless Provider and its affiliates, officers, directors, employees, and service providers from and against claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from or related to: (a) your apps or content; (b) your breach of these Terms; (c) your violation of law or third‑party rights; or (d) your generated content or its use.

## 14. Export Controls, Sanctions & Compliance
You will comply with all applicable export control, sanctions, and anti‑corruption laws. You represent and warrant that you are not located in, organized under the laws of, or ordinarily resident in any jurisdiction subject to comprehensive U.S. sanctions, and are not a denied or restricted party.

## 15. Publicity; Branding
- You may truthfully state that your application uses the “Qortex API.” Any use of Provider’s names, logos, or marks must follow our brand guidelines (if provided) and may be withdrawn at any time.
- You agree not to suggest endorsement or partnership without express written consent.

## 16. Termination
### 16.1 By You
You may terminate your use at any time by canceling your Rapid subscription.

### 16.2 By Us
We may suspend or terminate your access immediately if you: (a) violate these Terms; (b) engage in fraudulent, abusive, or illegal activities; (c) attempt to harm infrastructure; or (d) fail to pay applicable fees.

### 16.3 Effect of Termination
Upon termination: (a) your license ends and your access ceases immediately; (b) you remain responsible for charges incurred before termination; and (c) provisions regarding IP, confidentiality, disclaimers, limitations of liability, and indemnification survive.

## 17. Changes to Terms; Changes to Service

The arbitration shall be conducted by a single arbitrator, seated in Seattle, Washington, U.S.A., and conducted in English.
  - **Small‑Claims Carve‑Out.** Either party may bring qualifying claims in small claims court in Seattle, Washington.

  - **Class Action Waiver.** YOU AND PROVIDER AGREE THAT ANY PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
  - **Fees and Costs.** Each party will bear its own attorneys’ fees and costs, and share AAA/arbitrator fees equally, except the arbitrator may award fees and costs to the prevailing party to the extent permitted by applicable law or for frivolous or bad‑faith claims.
  - **Confidentiality.** The arbitration and all related proceedings, filings, and awards shall be confidential except to the extent disclosure is required to enforce an award or by law.
